PSYCHIC LOVE – READER AGREEMENT (Self-Employed, Exclusive) 1. Parties and Background This Agreement is made between TMF Benefit Services Ltd, a company incorporated in England and Wales (the "Company"), and the Reader named in this application (the "Reader"). The Company operates a telephone-based platform through which customers obtain psychic, tarot and related consultation services. The Reader has agreed to provide such services via the Company's platform on the terms set out in this Agreement. 2. Commencement and Duration This Agreement shall commence on the date on which it is accepted by the Reader and shall continue unless and until terminated in accordance with its terms. There shall be no minimum term or guaranteed duration. 3. Status of the Reader The Reader is engaged as a self-employed independent contractor. Nothing in this Agreement shall render the Reader an employee, worker, agent or partner of the Company. The Reader acknowledges that they are not entitled to any employment rights, including but not limited to holiday pay, sick pay, pension contributions or minimum wage protections. The Reader shall be solely responsible for all taxation, National Insurance contributions and any similar liabilities arising from payments made under this Agreement and shall indemnify the Company against any such claims, including interest and penalties. 4. Provision of Services The Reader agrees to provide psychic, tarot or similar consultation services to customers introduced via the Company's platform, exercising reasonable skill, care and professionalism at all times. The Company shall be under no obligation to provide any minimum number of calls, customers, hours of work or level of earnings. The Reader acknowledges that work is dependent upon customer demand and other commercial factors. The Reader shall be free to determine their availability and the times at which they are logged on to the platform. 5. Exclusivity and Restrictions In consideration of the opportunities made available by the Company, the Reader agrees that, during the term of this Agreement, they shall not provide services of a similar nature, whether directly or indirectly, to any business which competes with the Company in the provision of psychic, tarot or telephone-based consultation services. The Reader shall not operate, promote or participate in any competing service, whether in their own name or on behalf of any third party. The Reader further agrees that they shall not, whether during or after any interaction with a customer, promote any external service, provide personal contact details, solicit or attempt to divert customers away from the platform, or collect, retain or use any customer data for their own purposes. The Reader acknowledges that all customers, customer relationships and associated data belong exclusively to the Company and that any breach of this clause shall constitute a material breach of this Agreement. 6. Substitution The Reader may appoint a substitute to perform the Services, subject to prior notification to and approval by the Company. The Reader shall remain fully responsible for the acts and omissions of any substitute and for ensuring compliance with this Agreement. 7. Payment and Earnings The Reader shall be remunerated based on the total number of billable minutes of live call time completed through the platform. For the purposes of this Agreement, billable minutes shall mean all time during which the Reader is connected to and actively engaged with a customer on a live call, as recorded by the Company's systems. The Reader shall be paid for each minute of such billable time without deduction for the initial minute of any call. The applicable rates are £0.27 per minute as the standard rate and £0.21 per minute where introductory or promotional pricing applies. The Company reserves the right to apply different rates depending on customer pricing structures, promotional campaigns or platform conditions. All call durations, billing calculations and earnings shall be determined solely by the Company's systems, and such records shall be final and binding. Payments shall be made fortnightly in arrears by bank transfer. The Company reserves the right to withhold, reduce or set off any payments where it reasonably believes there has been a breach of this Agreement, misconduct, fraud, technical error or a legitimate customer complaint. 8. No Guarantee of Earnings The Reader acknowledges that earnings are variable and dependent upon customer demand and that the Company provides no guarantee of income. 9. Conduct and Compliance The Reader shall act professionally at all times and shall not engage in any conduct which may bring the Company into disrepute. The Reader shall not make guarantees, assurances or representations regarding the accuracy or outcome of any reading and shall ensure that all services are presented as entertainment. 10. Prohibited Matters The Reader shall not provide advice or guidance relating to medical, legal or financial matters, nor engage in discussions concerning pregnancy, life expectancy, death predictions or any matter that may reasonably be construed as professional advice. Where such matters arise, the Reader shall promptly redirect or terminate the interaction. 11. Call Recording The Reader acknowledges that all calls and interactions are recorded and may be monitored for quality control, training, compliance, fraud prevention and dispute resolution. 12. Confidentiality The Reader shall keep confidential all information relating to the Company, its business operations and its customers, and shall not disclose such information at any time, whether during the term of this Agreement or after its termination. 13. Platform Control and Suspension The Company reserves the right to modify, suspend, restrict or withdraw access to the platform or any part of the Service at any time. The Company may suspend the Reader's access immediately where it reasonably believes there is a risk to customers, a breach of this Agreement or a risk to the business. 14. Equipment and Expenses The Reader shall provide all equipment required to perform the Services at their own expense. 15. Data Protection The Reader shall comply with all applicable data protection laws, including UK GDPR, and shall process personal data only in accordance with the Company's instructions. 16. Intellectual Property All intellectual property rights arising from or in connection with the Services, including call recordings and communications, shall belong exclusively to the Company. 17. Indemnity The Reader shall indemnify and keep indemnified the Company against all claims, losses, damages and expenses arising out of or in connection with the Reader's conduct, provision of services or breach of this Agreement. 18. Termination This Agreement may be terminated by either party at any time with immediate effect. Notice of termination may be given in writing or communicated verbally, including via telephone. The Company may terminate immediately in the event of breach, misconduct or risk to the business. 19. Age Requirement The Reader warrants that they are over the age of eighteen years and that any substitute shall also be over the age of eighteen. 20. Entire Agreement and Variation This Agreement constitutes the entire agreement between the parties and supersedes any prior arrangements. The Company reserves the right to amend this Agreement at any time, and continued use of the platform shall constitute acceptance of any such amendments. 21. Governing Law and Jurisdiction This Agreement shall be governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales. 22. Acceptance By accepting this Agreement, the Reader confirms that they have read, understood and agree to be bound by its terms and acknowledge that they are acting as a self-employed independent contractor. You are not an employee of TMF Benefit Services. You are responsible for your own tax.
